3.1 Wynagrodzenie za wykonanie zlecenia określonego w par. 1 (przy założeniu przeprowadzenia przez Zleceniobiorcę wszystkich zleconych konsultacji) wynosi:
• ……… zł brutto za każdą godzinę konsultacji w firmie wskazanej przez Zleceniodawcę i zwanej dalej Klientem Zleceniodawcy w przypadku kursów indywidualnych
• ………….zł brutto za każdą godzinę konsultacji w firmie wskazanej przez Zleceniodawcę i zwanej dalej Klientem Zleceniodawcy w przypadku kursów grupowych
Godziną określa się okres 60 minut.
3.2 Wszelkie koszty związane z prowadzeniem działalności ponoszone przez Zleceniobiorcę wliczone są w wynagrodzenie Zleceniobiorcy.
3.3 Kosztami nazywa się koszty dojazdu oraz przygotowanie wszelkich materiałów
3.4 Konsultacja może zostać odwołane przez Klienta Zleceniodawcy w tym przez osoby uprawnione do uczestniczenia w konsultacji. W przypadku odwołania konsultacji wynagrodzenie za odwołaną konsultację nie należy się, chyba, że konsultacja zostanie odwołana na mniej niż 24 godziny przed terminem jego rozpoczęcia. W przypadku odwołanych zajęć na mniej niż 24 godziny przed terminem ich rozpoczęcia Zleceniodawca może wyznaczyć przeprowadzenie innych zajęć w tym terminie lub przygotowanie materiału dydaktycznego.
3.5 Wynagrodzenie za wykonanie zlecenia określonego w par. l będzie zapłacone na podstawie rachunku wystawionego przez Zleceniodawcę. Warunkiem zapłaty wynagrodzenia jest dostarczenie programu kursu lub zestawienia przeprowadzonych szkoleń, w postaci listy obecności każdej grupy. Lista obecności powinna być podpisana przez wszystkich obecnych uczestników szkolenia.
3.6 Zleceniodawca zobowiązuje się do zapłaty wynagrodzenia w terminie 14 dni od dnia otrzymania rachunku, przelewem na rachunek bankowy wskazany na rachunku. Za termin dokonania zapłaty uważa się dzień obciążenia rachunku bankowego Zleceniodawcy.
3.7 Zleceniobiorca może rozwiązać umowę ze skutkiem natychmiastowym, jeśli Zleceniodawca nie wywiązał się ze swoich zobowiązań finansowych po upływie 30 dni roboczych po otrzymaniu rachunku od Zleceniodawcy.
3.8 W przypadku kiedy Zleceniobiorca zdecyduje się na zaprzestanie prowadzenia części szkoleń, ma obowiązek powiadomić o tym fakcie Zleceniodawcę co najmniej 30 dni roboczych przed przewidywanym terminem zakończenia świadczonej usługi.
Zleceniobiorca ma obowiązek przeprowadzać szkolenia do momentu powiadomienia przez Zleceniodawcę o znalezieniu innego zleceniobiorcy. Okres ten nie może trwać dłużej niż 30 dni od powiadomienia.
3.9 Zleceniobiorca zobowiązany jest do poinformowania zleceniodawcy o braku zdolności do świadczenia usług na min 48 godzin od planowanego szkolenia. Wyjątek stanowią wypadki losowe niezależne od Zleceniobiorcy oraz niezdolność do świadczenia usług ze względów zdrowotnych.
Translation - Polish Section 3
3.1 Remuneration for performance under Section 1 (provided the Contractor performs all the Consultations hereunder) shall be:
• Individual courses – PLN ……… gross per hour of Consultation in the company indicated by the Employer and hereinafter referred to as the Employer's Client
• Group courses – PLN ……… gross per hour of Consultation in the company indicated by the Employer and hereinafter referred to as the Employer's Client
An hour shall mean 60 minutes.
3.2 Any costs incurred by the Contractor hereunder shall be included in the Contractor's remuneration.
3.3 Costs shall mean travel expenses and the costs of preparing any materials.
3.4 A Consultation may be cancelled by the Employer's Client, including the persons entitled to participate in the Consultation. The Contractor shall not receive remuneration for a cancelled Consultation unless it is cancelled within less than 24 hours of its due time. If a Consultation is cancelled within less than 24 hours of its due time, the Employer may order the Contractor to conduct other Consultations at that time or to prepare teaching materials.
3.5 Remuneration for performance under Section 1 shall be paid against an invoice raised by the Employer. Remuneration shall be paid on the condition that the Contractor supplies the course programme or a report from the conducted trainings in the form of an attendance list for every group. The attendance list must be signed by all the participants present during the training.
3.6 The Employer undertakes to pay the remuneration within 14 days of the date of the invoice's receipt, by wire transfer to the bank account specified on the invoice. The payment date is the day on which the Employer's bank account is charged.
3.7 The Contractor may terminate the Agreement with immediate effect if the Employer fails to fulfil its financial duties within 30 days of the date on which the Employer’s invoice was received.
3.8 If the Contractor decides to cease conducting part of the trainings, the Contractor must inform the Employer of this fact at least 30 days before the date on which the Contractor plans to cease performance hereunder.
The Contractor shall conduct the trainings until informed by the Employer that a replacement has been found. This period cannot exceed 30 days from the date of notice.
3.9 If the Contractor is incapable of performance hereunder, the Contractor must inform the Employer of this fact at least 48 hours before the scheduled training. The above stipulation shall not apply if the Contractor is incapable of performance hereunder due to fortuitous events or health problems.

Source text - English 4. Rights and Obligations of the Provider
4.1. Provider shall be obliged to perform the agency in line with the instructions and interests of the Principal according to its best knowledge.
The media plan drawn up by the Provider shall be forwarded to the Principal for approval The media plan shall become approved through signing by the Principal. By receipt of delivery of the approved media plans, the Provider shall be obliged to place orders for the airings contained therein. Provider shall be obliged to order all advertisements included in the media strategy and to require reconfirmation thereof. In case of change in any condition of the orders, the Provider shall inform the Principal thereof. Provider shall be obliged to perform according to the altered condition upon receipt of written instruction of the Principal thereof.
If the Principal provides an impractical or inefficient instruction, the Provider shall be obliged to call the attention of the Principal to this fact. However if the Principal adheres to its instruction, all damages arising there from shall be borne by the Principal.
Provider shall be entitled to deviate from the instruction of the Principal if it is by all means required for the protection of the Principal’s interests and preliminary notification of the Principal is impossible. In such cases the Principal shall be notified forthwith.
Beyond the above, Provider shall be obliged to proceed in the course of performing this agency in line with the generally accepted principles and legal rules regarding the media.
4.2. By the execution hereof, Principal and Provider concluded an exploitation contract as well pertaining to the use of all intellectual products that have been created and connected to the present agreement and established distinctively to the orders of Principal. Principal has exclusive intellectual exploitation right concerning such products – except the ones listed in this section - on the basis of the exploitation contract. This exploitation right may be exercised for an indefinite period of time and may not be assigned to any third person. Unless otherwise stipulated, the date of entry into force of the exploitation contract shall be the date when Principal pays up the whole amount of the Provider’s fee to Provider which fee shall cover the full consideration of the above exclusive intellectual exploitation right.
The above-referred exclusiveness shall not apply to those intellectual products of Agency which shall be deemed as the basis and components of individual applications and that may not be appropriate for the distinction of the individual applications from the applications related to the ones ordered by Principal, with special regard to those components, modules, software and computer programmes which have been developed previously and used for other innovations as well. Agency empowers Principal with non-exclusive, but without temporal and territorial limitations, non-transferable intellectual exploitation right which may not be amended, multiplied or developed pertaining to the intellectual products indicated in this section.
The above-referred exclusiveness shall not apply either to such intellectual products that have been created by other third persons and have been used by the Agency lawfully during the performance of its obligations determined herein. Other separate contracts shall settle the rules of exploitation of these products.
Parties hereby stipulate that the exploitation contracts – which contain the rules of the use of software and computer programmes which have been developed by other third persons and are necessary for the performance of the current orders – shall constitute the annexes of the individual contracts.
Parties hereby agree that Principal has non-exclusive, but without temporal and territorial limitations, non-transferable intellectual exploitation right which may not be amended, multiplied or developed pertaining to the computer programmes developed by the Agency which form the technical basis of the operation of the websites, other applications and online settings. Parties hereby agree that if the computer programmes - forming the technical basis of the operation of the websites, other applications and online settings – have been developed by other third persons for the authorization of the use thereof, the rules indicated in Section 4.2 hereof shall be applicable.
Agency warrants that the exploitation of the intellectual products determined in Section 4.2 hereof on the basis of the conditions stipulated in the present agreement and individual contracts is not restricted by any third person’s right. Agency shall immediately and completely indemnify Principal from any adverse legal consequences if a third person intends to enforce his/her claim for damages or other sort of claims pertaining to these intellectual products.
Agency cannot be held liable for damages or claims pertaining to those intellectual properties that are handed over by the Principal or used or exploited to the request/instruction of Principal of which use is restricted by a third person’s right. Principal shall be exclusively held liable if any third person intends to enforce his/her claim for damages or any other kind of claims of his/hers. Principal shall immediately and completely indemnify Agency from any adverse legal consequences if a third person intends to enforce his/her claim for damages or other sort of claims of his/hers pertaining to these intellectual products.
Agency is entitled to also use the trademark(s) and commercial name(s) of Principal on the website and in the advertisements if it is necessary for the performance of its obligations stipulated herein or related to that.
Agency is not liable at all for the content of the web pages referred to by the links placed on the Internet during the performance of its obligations and service to be provided on the basis of the present agreement. Agency is not liable and does not warrant or guarantee the appropriate quality of the products represented or advertised on the afore-mentioned websites accessed in the way stipulated above and Agency is not obliged to examine whether the use or exploitation of the intellectual products represented on such websites if lawful or not, only Principal is liable for these.
4.3. The Agency shall be entitled to utilize the contribution of third persons in the course of performing this Agreement. The Agency shall be liable for these third persons as if it had performed the duties itself.
The Agency shall utilize the contribution of X and Y in the course of performing this Agreement. Principal acknowledges and hereby approves this contribution.
Principal shall be entitled to cancel placed orders, except for the fix, non-cancelable orders.
If the instruction to cancel arrives at least three working days prior to the canceling deadline of the media in question, then the Agency shall take charge of its realization In case the instruction to cancel arrives following the above time limit, then the Agency shall do its best to save the Principal from possible damages and costs due to cancellation.
Translation - Polish 4. Prawa i obowiązki Usługodawcy
4.1. Usługodawca zobowiązuje się świadczyć usługi zgodnie z wytycznymi i dobrem Zleceniodawcy według swojej najlepszej wiedzy.
Sporządzony przez Usługodawcę plan mediów zostanie przedłożony Zleceniodawcy do zatwierdzenia. Zleceniodawca zatwierdzi plan mediów poprzez złożenie na nim podpisu. Po pokwitowaniu odbioru zatwierdzonych planów mediów Usługodawca jest zobowiązany złożyć zamówienia na zawarte w planach emisje. Usługodawca zamówi wszystkie reklamy zawarte w strategii medialnej, wymagając ich dodatkowego potwierdzenia. Usługodawca poinformuje Zleceniodawcę, jeśli którykolwiek warunek zamówień ulegnie zmianie. Po otrzymaniu pisemnego polecenia od Zleceniodawcy Usługodawca jest zobowiązany działać zgodnie ze zmienionym warunkiem.
Jeśli polecenie Zleceniodawcy jest niepraktyczne lub bezskuteczne, Usługodawca ma obowiązek poinformować o tym Zleceniodawcę. Jeśli jednak Zleceniodawca nie zmieni polecenia, poniesie on odpowiedzialność za wszelkie wynikłe z tego tytułu szkody.
Usługodawca ma prawo nie stosować się w pełni do polecenia Zleceniodawcy, jeśli jest to niezbędne dla ochrony interesów Zleceniodawcy, a wcześniejsze powiadomienie Zleceniodawcy jest niemożliwe. W takich wypadkach Zleceniodawcę należy powiadomić tak szybko, jak będzie to możliwe.
Prócz powyższych postanowień Usługodawca jest zobowiązany świadczyć przedmiotowe usługi zgodnie z powszechnie przyjętymi zasadami i przepisami prawa odnośnie mediów.
4.2. Podpisując niniejszą umowę, Zleceniodawca i Usługodawca zawarli również umowę o eksploatację wszelkich produktów intelektualnych stworzonych w związku z niniejszą umową i wdrożonych oddzielnie na zamówienie Zleceniodawcy. Na mocy umowy o eksploatację Zleceniodawca ma wyłączne prawo do eksploatacji przedmiotowych produktów intelektualnych z wyjątkiem produktów wyszczególnionych w tym paragrafie. Prawo do eksploatacji obowiązuje na czas nieokreślony i nie podlega cesji na rzecz osób trzecich. O ile nie postanowiono inaczej, datą wejścia umowy o eksploatację w życie będzie dzień, w którym Zleceniodawca spłaci całą sumę należnego Usługodawcy wynagrodzenia, które pokryje całość wynagrodzenia za wyżej wspomniane wyłączne prawo do eksploatacji produktów intelektualnych.
Wyżej wspomniana wyłączność nie obowiązuje w przypadku produktów intelektualnych Agencji, które uznaje się za podstawę i elementy składowe poszczególnych aplikacji i które mogą nie stanowić odpowiednich cech odróżniających poszczególne aplikacje od aplikacji związanych z zamówieniem Zleceniodawcy, a szczególnie w przypadku elementów składowych, modułów, aplikacji i programów komputerowych, które zostały już wcześniej utworzone i wykorzystane w innych innowacjach. Agencja przyznaje Zleceniodawcy niewyłączne, ale nieograniczone czasowo lub terytorialnie, nieprzekazywalne prawo do eksploatacji produktów intelektualnych, które nie może być zmieniane, powielane lub rozwijane, w odniesieniu do produktów intelektualnych określonych w tym punkcie umowy.
Wyżej wspomniana wyłączność nie obowiązuje także w przypadku stworzonych przez strony trzecie produktów intelektualnych, które w trakcie wykonywania niniejszej umowy Agencja wykorzystała zgodnie z prawem. Zasady eksploatacji wspomnianych produktów zostały zawarte w oddzielnych umowach.
Strony ustalają, że umowy o eksploatację, które zawierają zasady korzystania z aplikacji i programów komputerowych stworzonych przez strony trzecie i niezbędnych do zrealizowania obecnych zamówień, stanowią załączniki do poszczególnych umów.
Strony zgadzają się, że Zleceniodawca ma niewyłączne, ale nieograniczone czasowo lub terytorialnie, nieprzekazywalne prawo do eksploatacji produktów intelektualnych, które nie może być zmieniane, powielane lub rozwijane, w odniesieniu do programów komputerowych stworzonych przez Agencję i stanowiących bazę techniczną stron internetowych, innych aplikacji i ustawień internetowych. Strony zgadzają się, że jeśli programy komputerowe, które stanowią bazę techniczną stron internetowych, innych aplikacji i ustawień internetowych, zostały stworzone przez strony trzecie i wykorzystane za ich pozwoleniem, obowiązywać będą zasady określone w par. 4 ust. 2 niniejszej umowy.
Agencja gwarantuje, że eksploatacja produktów intelektualnych określonych w par. 4 ust. 2 niniejszej umowy na warunkach, które określono w niniejszej umowie i poszczególnych umowach, nie jest ograniczona prawami stron trzecich. Agencja bezzwłocznie i całkowicie zabezpieczy Zleceniodawcę od wszelkich negatywnych skutków prawnych, jeśli strona trzecia postanowi dochodzić odszkodowania lub zgłosić jakiekolwiek roszczenia w związku z przedmiotowymi produktami intelektualnymi.
Agencja nie ponosi odpowiedzialności za szkody i roszczenia w związku z własnością intelektualną przekazaną przez Zleceniodawcę lub użytą lub eksploatowaną na życzenie/ polecenie Zleceniodawcy, gdy korzystanie z niej jest obciążone prawami strony trzeciej. Zleceniodawca będzie ponosić wyłączną odpowiedzialność, jeśli strona trzecia postanowi dochodzić odszkodowania lub zgłosić jakiekolwiek roszczenia. Zleceniodawca bezzwłocznie i całkowicie zabezpieczy Agencję od wszelkich negatywnych skutków prawnych, jeśli strona trzecia postanowi dochodzić odszkodowania lub zgłosić jakiekolwiek roszczenia w związku z przedmiotowymi produktami intelektualnymi.
Agencji przysługuje również prawo do wykorzystywania znaków i nazw handlowych Zleceniodawcy na stronie internetowej i w reklamach, jeżeli jest to niezbędne dla wykonania umownych obowiązków lub ma z nimi związek.
Agencja nie ponosi żadnej odpowiedzialności za treść stron internetowych, do których prowadzą linki umieszczone w Internecie w trakcie wykonywania jej zobowiązań i świadczenia usług na mocy niniejszej umowy. Agencja nie ponosi odpowiedzialności ani nie ręczy za stosowną jakość produktów przedstawianych lub reklamowanych na wyżej wspomnianych stronach internetowych dostępnych pod wyżej wspomnianymi linkami, a ponadto Agencja nie ma obowiązku sprawdzania, czy przedstawiane tam produkty intelektualne są wykorzystywane zgodnie z prawem – odpowiedzialność za to ponosi wyłącznie Zleceniodawca.
4.3. W trakcie wykonywania niniejszej umowy Agencja ma prawo wykorzystywać twórczość stron trzecich. Agencja będzie odpowiedzialna za strony trzecie tak, jakby sama wykonywała przedmiotowe obowiązki.
W trakcie wykonywania niniejszej umowy Agencja wykorzysta twórczość spółek X i Y. Zleceniodawca przyjmuje ten fakt do świadomości i wyraża zgodę na wykorzystanie twórczości tych spółek.
Zleceniodawca ma prawo wycofać złożone zamówienia z wyjątkiem niezmiennych zamówień, które nie podlegają wycofaniu.
Agencja wykona polecenie wycofania, jeśli nadejdzie ono przynajmniej trzy dni robocze przed terminem odwołania danego zamówienia. Jeśli polecenie wycofania nadejdzie po upływie terminu, Agencja dopełni wszelkich starań, aby uchronić Zleceniodawcę od potencjalnych zobowiązań odszkodowawczych i kosztów wynikających z wycofania zamówienia.
