Sellers shall (to the extent permitted by Applicable Law) be free to
make claims on behalf of the other company, and to obtain consent for the surrender or utilization of any Group Relief between the other company and any Affiliates of Sellers in respect of any time or period (whether actual or by virtue of a deemed apportionment) falling on or prior to the Closing Date (a “Relevant Period)
