"Vote" is indeed a verb here, and "to vote the shares" (or securities in this case) is an often-used ellipsis meaning "to exercise the votes represented by the securities owned by the company" (351,000 hits in Google for "to vote the shares"; 45,600 hits for "to vote the securities")
共有名義の場合に、意見が同等に分かれた場合、その所有割合に比例して決議権の割合が決まるということでしょうか。

すみません。説明が悪いですね。
例えば、複数共有者が10株、１０議決権を持っていたとする。
共有者が3対６で賛成すれば、その10議決権すべてが賛成票となるが、５対５の場合は（すみません、ここからちょっとGuessになります）
賛成、反対それぞれの共有者の出資割合に応じて、議決権を４対６とか、５対５とかで行使する、または、
賛成と反対それぞれに５議決権が行使される、ということかと思います。proportionalyがどちらを取っているのか読みとれませんでした。
でも、Vote the securities は議決権の行使であっていると思います。

各派は、懸案の証券（株式）について比例して投票することができる。
１票の議決権の所有者らの意見が分かれてしまった場合なので、「比例して投票する」ことを認めると明記してあるのだと思います。"the securities" は、意見が分かれてしまった当該の株式のことだと思います。securities には share も含まれます。

１票ではなくて、共有の議決権でした。すみません。共有の議決権で１票以上で、かつ過半数に達しなかった場合に所有率に応じ、「比例して投票する」ことを認めるという意味だと思います。
