Spanish term

Sociedad no anónima: constitución

Spanish to English Law/Patents Business/Commerce (general)
Estoy traduciendo un formulario 600: impuesto sobre transmisiones patrimoniales y actos jurídicos documentados de una sociedad de responsabilidad limitada unipersonal

"Expresión abreviada: SO0
Concepto: Sociedad no anónima: constitución

En una consulta anterior hecha en proz veo que sociedad no anónima es "unincorporated business y que "constitución no se debe traducir como "incorporation". ¿Cómo debería traducirse "constitución" aquí?

Muchas gracias nuevamente

Context please Which country is the "formulario 600" from? If this is from Spain, you may be able to find a specimen translated form online in view of the number of British expats living in Spain

Unincorporated association: Articles of association [and bylaws].

Alternative: Unincorporated association: Charter [and bylaws].
Clearly, I have been unable to reconcile "no anónima" with "sociedad de responsabilidad limitada unipersonal".
I believe that in order to do this, more context would be necessary.
Another possibility is that the author has made a mistake, and "sociedad de responsabilidad limitada unipersonal" should be "sociedad sin responsabilidad limitada unipersonal". Or etc.
NB: The answer to why it is called an Association if it has only one principal is that this is just a term of art.

Another possibility: Sociedad no anónima = Private Limited Company.
I have never seen this, but the law of a given country may provide for it.

agree patinba : Articles is good, as the form requires the name of a document

I mentioned Private Limited Company. Your Investopedia reference relates to U.S. English and IMO has zero to do with Spanish. Again, we need more context from the Asker to eliminate the strong confusion.
agree Taña Dalglish : I think this is what it means; https://en.wikipedia.org/wiki/Unincorporated_entity; frankly I think FB (proposal above) is incorrect (private company is a different concept).

non-shareholder company: constitution

Example sentence:

The constitution can be the way in which an organization is formed and is organized within its establishment. Arrangements, agreements and provisions are found within the organization's constitution which should appear in prepared and updated documents.

Non-limited company: establishment

In a non-limited company the business owner(s) and the company are legally the same entity – the owner(s) are the company and are therefore liable for all the debts, as well as receiving all of the profits. ... A non-limited company does not have to file accounts or other returns with Companies House.

I think "establishment" would be ok but let's wait and see...

disagree Francois Boye : what is the opposite of anonymous in business? A company that protects the identity of its owners! A private company

Limited Liability Company (LLC): Articles of Organization

This would apply to only the USA as each country has its own terms and regulations.

LLC's are registered with the state and each state has its own requirements.
They are not recognized on the federal level where they are all treated as partnerships.

There are other forms of partnership - General Partnership (GP), Limited Partnership (LP), Limited Liability Partnership (LLP), but not all states require Articles of Organization and in the case of GP's, registration is not required.

Peer comment(s):

neutral TechLawDC : I have never seen the equivalent of a U.S. LLC in any Spanish-speaking country. Using it in a translation introduces confusion and is more than a little misleading.

private company: establishment

What does anonymous company mean?

Depending on language, it means anonymous company, anonymous partnership, share company, or joint-stock company, roughly equivalent to public limited company in common law jurisdictions.

The opposite of an anonymous company is therefore the company that does not hide its owners through the mechanism of going public. This kind of company has a name; it is called a private company.

What Is a Private Company?
A private company is a firm held under private ownership. Private companies may issue stock and have shareholders, but their shares do not trade on public exchanges and are not issued through an initial public offering (IPO). As a result, private firms do not need to meet the Securities and Exchange Commission's (SEC) strict filing requirements for public companies. In general, the shares of these businesses are less liquid, and their valuations are more difficult to determine.
